Director, Legal Counsel, Governance and Securities

About the role

Alcon is seeking a Swiss‑qualified lawyer to serve as Director, Legal Counsel – Governance and Securities. The role is the primary legal partner for Alcon AG, a Swiss‑incorporated public company, providing autonomous, business‑savvy legal support across corporate governance, securities compliance and capital‑markets transactions.

Key responsibilities

• Provide day‑to‑day legal support for compliance with Swiss corporate law and SIX exchange regulations.
• Draft and manage corporate governance documents such as minutes, resolutions, meeting agendas and powers of attorney for Alcon AG and its subsidiaries.
• Assist in preparation of the annual report, quarterly financial disclosures, management transaction disclosures and other public reporting obligations.
• Coordinate and prepare Alcon’s Annual General Meeting of Shareholders, liaising with internal and external stakeholders.
• Collaborate with the Treasury team to draft, negotiate and manage capital‑markets and finance transaction agreements, including M&A and licensing deals from a Swiss perspective.
• Support ESG initiatives by advising on regulatory reporting and due‑diligence requirements in Switzerland.

Required profile

• Swiss‑qualified lawyer with extensive experience in corporate governance and securities law.
• Strong understanding of Swiss corporate law, SIX securities regulations and public‑company reporting requirements.
• Ability to work autonomously and partner with senior leadership, including the Board of Directors and Executive Committee.
